Constitution
Article I
Name of the Organization
The name of this organization shall be the Galway Youth Soccer Club, hereinafter referred to as the GYSC or the Club.
Article II
Purposes
The purpose of the GYSC are as Follows:
To Educate, Develop, Promote, and administer the game of soccer among the
youth of our community.
To provide proper supervision and instruction to implant firmly in the minds of
our youths the ideals of good sportsmanship, loyalty, courage and reverence, so
that they may become upstanding members of society.
To foster and engage in competition and to install a sense of fairness to team members, competitors, and officials.
To encourage and to engage in any other activities which will enhance and improve the aforementioned purposes and for the good of soccer.
Article III
Territory and colors
The territory from which the players are to be drawn is the greater Galway School District and the surrounding area. The representative colors of the Club shall be Royal Blue and Gold.
Article IV
Affiliations
GYSC is affiliated with the Capital District Youth Soccer League (CDYSL), the eastern New York State Youth Soccer Association (ENYSYSA), and the United States Youth Soccer Association (USYSA), and its duration shall be perpetual.
Article V
Business of GYSC
The business of the Club shall be conducted and managed by the Club’s officers. Each officer shall be at least eighteen years of age.
Article VI
Meetings of GYSC
The Business of the Club shall be transacted at an Officer meeting which shll be held at least six (6) times a year on a date and time selected by the Officer meetings. There shall be and Annual General meeting each year during the month of November, the date of which shall be established by the Officers, and notice of which shall be sent to Club members at least Fourteen (14) days before said date.
Article VII
Distribution of Earnings
No part of the net Earnings of the Club shall inure to the benefit of, or be distributed to, its members, officer, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of its purpose.
Article VIII
Amendment of the constitution
This constitution may be amended only at the Annual General Meeting or at a special meeting held for that specific purpose by a two-thirds majority vote of the votes cast,
A quorum being present, provided notice was given to each member at least fourteen (14) days prior to the Annual General meeting.
Each member shall have on (1) vote at each general meeting.
A Quorum shall exist when fifty-one (51) percent of the voting power is present at the meeting.
Article IX
Dissolution of GYSC
Upon dissolution of the Club, the Officers of the Club shall, after paying or making provision for the payment of all of the liabilities of the Club, dispose of all of the assets of the Club exclusively for religious, charitable, scientific, testing for public safety, literary or educational purposes, or for the prevention of cruelty to children or animals: or to such organizations organized and operated exclusively for one or more such purposes as shall at the time qualify as exempt organizations under Section 501 © (30) of the Internal revenue Code 1954; or to the local government for a public purpose.
